These Terms & Site Use provisions apply to the DiverCity Artistry LLC website, project inquiries, service requests, quotes, proposals, creative services, fabrication work, media production, delivery, installation, project documentation, and related business communication.
By visiting this website, submitting a form, requesting a quote, uploading files, approving project work, making payment, communicating with DiverCity Artistry LLC, or otherwise engaging with the company, you acknowledge and agree to the terms described below.
These terms are intended to support clear communication, protect the creative process, define project expectations, and reduce misunderstandings between DiverCity Artistry LLC and clients, prospective clients, collaborators, vendors, venues, and visitors.
1. Website Use
This website is provided for informational, portfolio, reference, promotional, and business communication purposes. Website content may include service descriptions, project references, images, videos, examples of work, process documentation, general policies, forms, contact details, and other business information.
DiverCity Artistry LLC may update, revise, remove, replace, or reorganize website content at any time without prior notice.
Website content should not be interpreted as a guaranteed offer, fixed price, final scope, confirmed availability, legal promise, official partnership claim, or guarantee of identical results.
2. Custom Project Based Services
DiverCity Artistry LLC provides custom, project based creative services. Services may include art direction, fabrication, custom art, murals, scenic builds, dimensional work, storefront visuals, brand presence, vinyl related work, media production, drone or visual content, installation, delivery, project documentation, creative consulting, and related services.
Each project is reviewed individually. Scope, pricing, timeline, materials, process, delivery, installation, and final outcome may vary based on project needs.
Past work, images, examples, references, or listed services do not guarantee that a future project will be accepted, priced the same way, built the same way, completed within the same timeline, or produce identical results.
3. Project Inquiries
Submitting a Start a Project form, contact form, quote request, email, file upload, reference image, phone call, voicemail, social media message, or other inquiry does not create a formal client relationship, guarantee acceptance, reserve a date, confirm pricing, or obligate DiverCity Artistry LLC to begin work.
DiverCity Artistry LLC reserves the right to accept, decline, pause, revise, or reject any inquiry, request, project, collaboration, or service opportunity at its discretion.
A project is not considered active until DiverCity Artistry LLC confirms acceptance, the necessary project details are reviewed, required payment or deposit is received, and any required written approval or agreement is completed.
4. Quotes, Estimates, and Proposals
Quotes, estimates, pricing discussions, and proposals are based on the information available at the time they are prepared. Pricing may change if the project scope, size, materials, location, timeline, access, delivery needs, installation needs, finish, revisions, creative direction, rush requirements, or client requests change.
Quotes may expire, be revised, or be withdrawn if not accepted within the stated timeframe, or if project details change after the quote is provided.
Unless specifically stated in writing, quotes do not include additional revisions, delivery, installation, permit fees, venue fees, storage, rush fees, travel, unexpected materials, third party costs, rental equipment, weather related adjustments, or post completion changes.
5. Authorization to Begin Work
A project may be considered authorized when a client provides written approval, verbal approval, signed approval, email approval, text approval, form submission approval, payment, deposit, or another clear instruction to proceed.
Once work is authorized, DiverCity Artistry LLC may begin planning, sourcing, designing, scheduling, purchasing materials, reserving time, communicating with collaborators, preparing files, fabricating, producing, or otherwise performing work related to the project.
Client approval to begin work may create payment responsibility for labor, materials, time, sourcing, planning, creative development, administrative preparation, or other project related costs.
6. Payments, Deposits, and Retainers
DiverCity Artistry LLC may require a deposit, retainer, material payment, scheduling payment, partial payment, progress payment, final payment, rush fee, delivery fee, installation fee, or other payment before work begins or before work is released.
Unless otherwise stated in writing, deposits and payments made toward approved project work may become non refundable once materials are purchased, scheduling is reserved, design work begins, fabrication begins, sourcing begins, planning begins, media work begins, labor is performed, travel is arranged, or project preparation has started.
Payments are applied toward the project scope, scheduling, labor, materials, preparation, creative work, and business resources required for the project.
7. Final Payment and Project Release
DiverCity Artistry LLC may withhold final delivery, installation, pickup, completed work, project files, final media, digital assets, release of materials, or project handoff until required payments are complete.
If final payment is not received when due, DiverCity Artistry LLC may pause work, delay delivery, postpone installation, withhold release, revise scheduling, or take other reasonable steps to protect its business interests.
A client is responsible for any outstanding balance connected to approved work, materials purchased, labor performed, services provided, or project costs incurred.
8. Late Payments and Collection Costs
If payment is late, overdue, disputed without reasonable basis, or not completed as agreed, DiverCity Artistry LLC may pause work, withhold deliverables, cancel remaining services, require payment before future work, or pursue available remedies.
The client may be responsible for reasonable costs related to collecting overdue amounts, including administrative time, collection fees, filing fees, legal fees, or other recovery costs where permitted by law.
9. Client Responsibility
Clients are responsible for providing accurate, complete, and timely project information. This includes measurements, deadlines, project goals, location details, access instructions, venue restrictions, wall or surface conditions, branding files, reference materials, safety requirements, approval authority, budget expectations, install requirements, and any other details that may affect the work.
DiverCity Artistry LLC is not responsible for delays, additional costs, incorrect results, missed deadlines, or changed outcomes caused by incomplete information, inaccurate measurements, late responses, unclear direction, delayed approvals, late payments, restricted access, venue rules, third party delays, weather, client side changes, or other circumstances outside the company’s control.
10. Revisions and Scope Changes
Revisions, edits, redesigns, additions, material changes, size changes, timeline changes, finish changes, installation changes, delivery changes, or other requests outside the original approved scope may require additional payment and additional time.
DiverCity Artistry LLC may treat new requests, expanded direction, added deliverables, repeated revisions, major changes, or late stage changes as separate work or added scope.
Work already approved, purchased, fabricated, painted, installed, filmed, edited, delivered, or otherwise completed may not be included in revision requests unless otherwise agreed in writing.
11. Approvals
Clients may be asked to approve concepts, direction, layouts, materials, colors, finishes, measurements, installation methods, content, edits, or project stages.
Once a client approves a stage of work, DiverCity Artistry LLC may rely on that approval to continue. Changes requested after approval may affect cost, timeline, materials, labor, and final delivery.
Client delays in providing approval may delay the project and may affect scheduling, availability, delivery, installation, or completion.
12. Timelines and Scheduling
Project timelines are estimates unless a specific deadline is confirmed in writing. Timelines may be affected by client response time, project complexity, material availability, weather, delivery logistics, venue access, third party delays, fabrication needs, revision requests, payment timing, or other circumstances.
DiverCity Artistry LLC will make reasonable efforts to meet agreed timelines but cannot guarantee completion dates when delays are caused by circumstances outside its control.
Rush work may require additional fees and may not always be available.
13. Delivery, Installation, and Site Access
Delivery, installation, setup, on site work, transport, pickup, or removal may require additional fees and advance scheduling.
Clients are responsible for ensuring safe and reasonable access to the project location. This may include parking, loading access, elevator access, power access, site clearance, security approval, venue permission, wall or surface readiness, weather protection, and any required on site coordination.
DiverCity Artistry LLC is not responsible for delays, failed installation, added labor, damage, or changes caused by inaccessible locations, unsafe conditions, unprepared surfaces, venue restrictions, incorrect site information, or lack of required permissions.
14. Site Conditions and Surface Readiness
For murals, vinyl, signage style work, installations, scenic pieces, mounted work, or on site creative work, clients are responsible for providing accurate information about walls, surfaces, dimensions, materials, restrictions, and existing conditions.
Surfaces may affect adhesion, paint behavior, installation quality, finish, durability, removal, and final appearance.
DiverCity Artistry LLC is not responsible for issues caused by hidden damage, moisture, dust, grease, unstable surfaces, poor prior paint, structural problems, weather exposure, landlord restrictions, building rules, or site conditions not disclosed before work begins.
15. Weather, Outdoor Work, and Environmental Conditions
Outdoor work, delivery, installation, painting, vinyl application, scenic setup, drone work, or media production may be affected by weather, wind, rain, humidity, temperature, sunlight, dust, moisture, or unsafe conditions.
DiverCity Artistry LLC may pause, reschedule, modify, or decline outdoor work when conditions may affect safety, quality, equipment, materials, or final results.
Weather related delays, rescheduling, additional labor, added materials, travel changes, or storage needs may affect pricing and timeline.
16. Creative Judgment and Artistic Variation
DiverCity Artistry LLC provides custom creative work that may involve artistic judgment, material behavior, fabrication limits, hand finished details, lighting changes, texture, scale, photography differences, and project specific interpretation.
Final results may vary from sketches, references, mockups, inspiration images, digital previews, past work, or examples shown on the website.
Reasonable creative variation is part of custom work and does not automatically constitute a defect, error, or failure to perform.
17. Materials, Fabrication, and Durability
Materials may vary in texture, weight, finish, strength, durability, color, availability, and performance. Some projects may be temporary, event based, display based, scenic, experimental, decorative, or designed for limited use.
DiverCity Artistry LLC may recommend materials based on budget, use, environment, deadline, transport, installation needs, and creative goals.
Unless otherwise stated in writing, DiverCity Artistry LLC does not guarantee that temporary builds, scenic pieces, foam work, props, painted surfaces, vinyl applications, or event installations will perform as permanent construction, commercial signage, structural engineering, or long term architectural work.
18. Client Provided Materials and Files
Clients may provide logos, artwork, designs, reference images, brand files, measurements, videos, photos, sketches, concepts, or other materials for project use.
By providing materials, the client confirms that they have the right to share and authorize use of those materials for the project.
The client is responsible for obtaining any necessary permissions, licenses, releases, approvals, or clearances related to materials they provide.
DiverCity Artistry LLC is not responsible for claims, disputes, infringement issues, or ownership conflicts arising from client provided materials.
19. Intellectual Property
Unless otherwise agreed in writing, DiverCity Artistry LLC retains ownership of its original concepts, sketches, layouts, creative direction, working files, process methods, design tools, production methods, templates, photographs, videos, behind the scenes content, documentation, and other creative materials created by or for DiverCity Artistry LLC.
Upon full payment, the client receives the agreed final deliverable or completed work described in the approved project scope.
Purchase of a completed project does not automatically transfer ownership of all underlying concepts, source files, working files, raw footage, unused designs, process documentation, templates, methods, or other intellectual property unless expressly agreed in writing.
20. Portfolio and Promotional Rights
Unless otherwise agreed in writing before the project begins, DiverCity Artistry LLC may photograph, film, record, document, display, archive, and reference completed work, in progress work, behind the scenes process, fabrication, installation, delivery, setup, project details, and related creative materials.
This content may be used for portfolio, website, social media, marketing, proposals, presentations, educational content, internal archives, project references, business development, and future examples of work.
Clients requiring privacy, delayed posting, limited use, no public reference, no filming, no photography, no behind the scenes content, or specific credit rules must communicate those restrictions in writing before work begins.
21. Project References and Third Party Names
Project references, logos, names, brands, people, artists, venues, schools, studios, events, teams, products, organizations, and creative identities may be shown or mentioned only to identify prior work, project involvement, creative contribution, event support, production support, fabrication, installation, content capture, design work, or related project history.
DiverCity Artistry LLC does not claim sponsorship, endorsement, partnership, employment, agency representation, official vendor status, ownership, licensing, management affiliation, label affiliation, venue affiliation, school affiliation, team affiliation, event affiliation, or formal affiliation with any person, brand, company, organization, venue, school, studio, artist, team, league, event, product, property, or entity unless specifically stated in writing.
22. Cancellations, Pauses, and Termination
If a client cancels, pauses, delays, or abandons a project after approval, the client may remain responsible for work performed, materials purchased, time reserved, planning completed, sourcing, design work, fabrication, administrative time, travel, collaborator scheduling, and other project related costs.
DiverCity Artistry LLC may pause or terminate a project if communication becomes unreasonable, payment is late, access is denied, safety is compromised, scope changes become excessive, required information is not provided, or the project becomes impractical, unsafe, unlawful, or inconsistent with company standards.
23. Storage, Pickup, and Abandoned Work
Completed pieces, materials, props, installations, or project components must be picked up, accepted, delivered, installed, or otherwise handled within the agreed timeframe.
If a client fails to pick up, accept delivery, provide access, complete payment, or arrange next steps, storage fees may apply.
DiverCity Artistry LLC is not required to store completed work, materials, props, or project components indefinitely. Abandoned work may be subject to disposal, resale, reuse, storage charges, or other reasonable handling after notice where practical.
24. Safety and On Site Conduct
Clients, venues, collaborators, and third parties must provide a safe environment for on site work, delivery, installation, media capture, or setup.
DiverCity Artistry LLC may pause or refuse work if conditions are unsafe, hostile, unlawful, unstable, inaccessible, or likely to damage equipment, materials, personnel, or the finished work.
The company is not responsible for delays or costs caused by unsafe conditions, restricted access, venue conflict, security issues, crowd interference, or third party actions.
25. Drone, Media, and Visual Production
Drone work, camera work, 360 capture, behind the scenes coverage, event content, and visual production may be subject to location rules, weather, safety conditions, equipment limitations, venue restrictions, airspace restrictions, permissions, crowd control, lighting, sound, and third party interruptions.
DiverCity Artistry LLC may decline, pause, or adjust media capture when conditions are unsafe, restricted, impractical, or likely to affect quality.
Final media deliverables, editing timelines, usage rights, raw files, revisions, and posting rights should be confirmed in writing before production begins.
26. No Guarantee of Results
DiverCity Artistry LLC does not guarantee specific business results, sales, attendance, engagement, social media growth, press attention, customer response, viral reach, brand recognition, or financial outcome from any creative service, installation, media content, project reference, or visual work.
The company provides creative services, project execution, and visual support, not guaranteed commercial performance.
27. Limited Warranty
DiverCity Artistry LLC aims to perform services in a professional and workmanlike manner consistent with the custom nature of the work.
Unless otherwise stated in writing, DiverCity Artistry LLC makes no guarantee or warranty beyond the agreed project scope. The company does not provide implied guarantees of merchantability, fitness for a particular purpose, permanent durability, identical replication, third party approval, or specific commercial result.
Temporary, scenic, event based, foam, display, painted, vinyl, media, or custom creative work may have limitations based on use, handling, storage, environment, materials, and site conditions.
28. Limitation of Liability
To the fullest extent permitted by law, DiverCity Artistry LLC is not liable for indirect, incidental, special, consequential, exemplary, punitive, or lost profit damages arising from website use, project delays, third party issues, site conditions, client supplied materials, missed opportunities, lost revenue, venue restrictions, weather, technical problems, or reliance on website content.
Any potential liability related to a project shall be limited to the amount paid to DiverCity Artistry LLC for the specific work giving rise to the claim, unless otherwise required by law.
29. Indemnification
The client agrees to defend, indemnify, and hold harmless DiverCity Artistry LLC, its owner, collaborators, contractors, assistants, service providers, and representatives from claims, damages, losses, liabilities, costs, fees, or expenses arising from client provided materials, inaccurate information, unauthorized use of third party intellectual property, unsafe site conditions, unpaid amounts, breach of these terms, misuse of completed work, or actions by the client or parties under the client’s direction.
30. Third Party Services and Collaborators
DiverCity Artistry LLC may use or coordinate with third party platforms, vendors, collaborators, contractors, delivery support, installation support, payment processors, file tools, website tools, or other service providers.
DiverCity Artistry LLC is not responsible for the independent acts, delays, failures, terms, policies, data practices, or errors of third party platforms or outside service providers.
31. Force Majeure
DiverCity Artistry LLC is not responsible for delays, nonperformance, added costs, or changes caused by events beyond reasonable control. This may include severe weather, power outages, supply shortages, transportation issues, accidents, illness, emergency conditions, government restrictions, labor disruptions, venue closures, fires, floods, public safety issues, equipment failure, acts of God, or other unexpected events.
In such cases, timelines, scope, delivery, installation, or project obligations may be adjusted as reasonably necessary.
32. No Assignment
A client may not transfer, assign, resell, or delegate project rights, payment obligations, deliverables, approvals, or responsibilities to another person or entity without written approval from DiverCity Artistry LLC.
33. Written Changes
Any changes to pricing, scope, deliverables, ownership rights, usage rights, confidentiality, media restrictions, deadlines, or project responsibilities should be confirmed in writing.
Verbal conversations, informal comments, inspiration references, social media messages, or assumptions may not override written terms, approved quotes, invoices, or project agreements.
34. Severability
If any part of these terms is found to be invalid, unenforceable, or legally restricted, the remaining sections will continue to apply to the fullest extent permitted by law.
35. Governing Law
These terms are intended to be governed by applicable law in the State of Illinois, unless a different jurisdiction is required by law or agreed in writing.
36. Updates to These Terms
DiverCity Artistry LLC may update, revise, replace, or remove these Terms & Site Use provisions at any time. Updates may be posted on this page with a revised date.
Continued use of this website or continued communication with DiverCity Artistry LLC after updates are posted means you accept the updated terms.
